Before using the Site or creating an account on our system (“Account”), please read carefully the Terms of Service below and our Operating Regulations to understand your legal rights and obligations and those of our affiliates. The “Services” we provide or make available include (a) the Vung Tau Stationery Site, (b) the services provided by the Vung Tau Stationery Site and by the Vung Tau Stationery client software available on the Vung Tau Stationery Site, and (c) all information, links, features, data, text, images, graphics, music, sounds, videos (including live streams), messages, tags, content, programs, software, service applications (including any mobile service applications) or other materials available on the Vung Tau Stationery Site or services related to the Vung Tau Stationery Site (“Content”). Any new features that are added or expanded to the Services are subject to these Terms of Service. These Terms of Service govern your use of the Services provided by Vung Tau Stationery.

The Service includes an online marketplace service that connects consumers to each other to provide business opportunities between buyers (“Buyers”) and sellers (“Sellers”) (collectively, “you”, “Users” or “Parties”). The actual purchase and sale contract is directly between the Buyer and the Seller. The Parties involved in such a transaction will be responsible for the purchase and sale contract between them, the posting of goods, product warranties and the like. Vung Tau Stationery PT does not intervene in transactions between Users. Vung Tau Stationery PT may or may not pre-screen Users or the Content or information provided by Users. Vung Tau Stationery PT reserves the right to remove any Content or information on the Vung Tau Stationery Site in accordance with Section 6.4 below. Vung Tau Stationery PT does not guarantee that Users will actually complete transactions. Note, Vung Tau Stationery PT will be the intermediary to manage the status of goods and sales between Buyer and Seller and manage shipping issues.

1.3. Before becoming a User of the Vung Tau Stationery PT Site, you must read and accept all terms and conditions set forth in, and referenced in, these Terms of Service, the Vung Tau Stationery PT rules, regulations, policies, community standards and the Privacy Policy referenced  herein .

1.4. Vung Tau Stationery PT reserves the right to change, modify, suspend or discontinue all or any part of the Vung Tau Stationery PT Site or the Service at any time as required by law. The Trial Version of the Service or the features of the Service may not be exactly the same as the final version.

1.5. Vung Tau PT Stationery reserves the right to refuse your request to open an Account or your access to the Vung Tau PT Stationery Site or the Services in accordance with the law and the Terms of Service.

LEGAL. IF YOU ARE A PARENT OR LEGAL GUARDIAN OF A MINOR OR A PERSON WITH LIMITED CIVIL CAPACITY, AS THE CASE REQUIRES BY LAW, YOU MUST ASSIST THE PERSON UNDER GUARD IN UNDERSTANDING OR REPRESENTING THE PERSON UNDER GUARD TO ACCEPT THESE TERMS OF SERVICE AND BE RESPONSIBLE FOR THE ENTIRE PROCESS. USE THE ACCOUNT OR SERVICES OF Vung Tau PT Stationery WITHOUT DISTINGUISHING WHETHER THE ACCOUNT HAS BEEN OR WILL BE CREATED.

  1. PRIVACY

2.1. Vung Tau Stationery PT takes the security of your information seriously. To protect the rights of users, Vung Tau Stationery PT provides a Privacy Policy to explain in detail the security practices of Vung Tau Stationery PT. Please refer to the Privacy Policy  to  understand how Vung Tau Stationery PT collects and uses information related to your Account and/or your use of the Services (“User Information”). These Terms of Service are closely related to the Privacy Policy. By using the Services or providing information on the Vung Tau Stationery Site, the User:

  1. allow Vung Tau PT Stationery to collect, use, disclose and/or process your Content, personal data and User Information as set forth in the Privacy Policy;

In the event that a User possesses personal data of another User through the use of the Service (“Recipient”), the User who is the Recipient hereby agrees that the Recipient will (i) comply with all laws on the protection of personal information security related to such information; (ii) allow the User who is the owner of the personal information collected by the Recipient (“Disclosing Party”) to delete his/her information collected from the Recipient’s database; and (iii) allow the Disclosing Party to review the information collected about him/her by the Recipient, in accordance with or as required by applicable laws.

  1. LIMITATION OF LIABILITY

3.1. Vung Tau Stationery PT grants the User a limited right to access and use the Services subject to the terms and conditions set forth in these Terms of Service. All proprietary Content, trademarks, service marks, trade names, logos and other intellectual property (“Intellectual Property”) displayed on the Vung Tau Stationery PT Site are owned by Vung Tau Stationery PT and third party owners (if any). No party accessing the Vung Tau Stationery PT Site is granted any right or license directly or indirectly to use or copy any Intellectual Property, nor is any party accessing the Vung Tau Stationery PT Site entitled to claim any right, title or interest in or to the Intellectual Property. By using or accessing the Service, you agree to comply with the copyright, trademark, service mark, and other applicable laws that protect the Service, the Vung Tau PT Stationery Site, and the Vung Tau PT Stationery Site Content. Any scripts or code, linked to or referenced from the Service, are licensed to you by the third parties that own such scripts or code, not by Vung Tau Stationery PT.

  1. ACCOUNTS AND SECURITY

5.1. Certain features of our Services require you to register for an Account by selecting a unique username (“Username”) and password and providing truthful and accurate personal information. You may use your Account to access other products, websites or services that Vung Tau Stationery PT enables, or that are affiliated or partnered with Vung Tau Stationery PT. Vung Tau Stationery PT has not reviewed and is not responsible for any content, features, security, services, privacy policies, or other practices of those products, websites or services. In the event that you use your Account to access other products, websites or services that Vung Tau Stationery PT allows, or is affiliated or cooperating with Vung Tau Stationery PT, the terms of service of those products, websites or services, including their respective privacy policies, will still apply when you use those products, websites or services even if these terms of service are different from Vung Tau Stationery PT’s Terms of Service and/or Privacy Policy.

5.2. You agree to (a) keep your password confidential and use only your Username and password when logging in, (b) ensure that you log out of your account at the end of each session on the Vung Tau PT Stationery Site, and (c) immediately notify Vung Tau PT Stationery of any unauthorized use of your Account, Username and/or password. Grounds for such actions may include (a) Account and Login Name inactivity for a period of time in accordance with the Vung Tau Stationery Policy, (b) violation of the terms or spirit of these Terms of Service as well as the Vung Tau Stationery rules, policies, regulations and community standards, (c) illegal, fraudulent, harassing, infringing, threatening or abusive conduct, (d) having multiple user accounts, (e) purchasing products on the Vung Tau Stationery Site for business purposes, (f) purchasing in bulk from a Seller or a group of related Sellers, (g) abuse of discount codes or sponsorships or promotional benefits (including selling discount codes to third parties as well as abusing discount codes on the Vung Tau Stationery Site), (h) conduct that is harmful to other Users, third parties or the economic interests of Vung Tau Stationery, (i) use of information forgery or dishonest use or use of automated account registration tools when registering an Account and (j) buying, selling, renting, lending, registering an Account for someone else. Use of the Account for illegal, fraudulent, harassing, infringing, threatening or abusive purposes may be reported to the competent state agency as prescribed by law.

5.4. The User may request deletion of the Account by notifying Vung Tau PT Stationery in writing ( here ). However, the User shall remain responsible and liable for any uncompleted transactions (which occurred before or after the Account was deleted) or the shipment of goods related to the Account requested to be deleted. In such case, according to the Terms of Service, the User shall contact Vung Tau PT Stationery after promptly and completely performing and completing the uncompleted transactions. The User shall be responsible for his/her request to delete the Account.

5.5. You may only use the Services and/or open an Account at Vung Tau Stationery PT if you meet the conditions to accept these Terms of Service as well as the rules, policies, regulations and community standards of Vung Tau Stationery PT.

  1. TERMS OF USE

6.1. The license to use the Vung Tau PT Stationery Site and Services is effective until terminated. The license to use will terminate in accordance with these Terms of Service or in the event that the User breaches any term or condition set forth in these Terms of Service. In such event, Vung Tau PT Stationery may terminate the User’s use with or without notice to the User.

6.2. Users are not allowed to:

(a) upload, post, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, alarming, alarming, tortious, defamatory, offensive, pornographic, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable;

(p) upload, email, post, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under confidentiality agreements);

(q) upload, email, post, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;

(r) upload, email, post, transmit or otherwise make available any unauthorized or unlawful advertising, promotional materials, “junk mail,” “spam,” “chain letters,” or any other form of unauthorized solicitation;

(s) upload, email, post, transmit or otherwise make available any material that contains viruses, worms, Trojan horses or any other computer code, files or programs designed to directly or indirectly interrupt, manipulate, disrupt, destroy or limit the functionality or integrity of any computer software or hardware or data or telecommunications equipment;

(t) disrupt the normal flow of interaction, “scroll” the screen faster than other Users are able to on the Service, or otherwise engage in conduct that negatively affects other Users’ ability to engage in real-time transactions,

(u) interfere with, manipulate or disrupt the Service or servers or systems connected to the Service or any other User’s use and enjoyment of the Service, or disobey any requirements, procedures, policies or regulations of systems connected to the Vung Tau PT Stationery Site;

(v) take any action or conduct that could directly or indirectly damage, disable, overburden, or impair the Service or the servers or systems connected to the Service;

(w) use the Service to intentionally or unintentionally violate any applicable local, federal, national or international law, statute, rule, directive, guideline or policy (whether or not in force) relating to anti-money laundering or counter-terrorism;

6.3. The User understands that all Content, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom such Content originated. This means that you, and not Vung Tau Stationery PT, are entirely responsible for the Content that you upload, post, email, transmit or otherwise make available to the Vung Tau Stationery PT Site. The User understands that by using the Vung Tau Stationery PT Site, you may be exposed to Content that you consider to be offensive, indecent or objectionable. User agrees that he/she must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, User acknowledges that he/she has not and, to the fullest extent permitted by law, should not rely on any Content created by Vung Tau Stationery PT or submitted to Vung Tau Stationery PT, including information on Vung Tau Stationery Forums or on other parts of the Vung Tau Stationery Site.

6.5. The User acknowledges and agrees that Vung Tau Stationery PT may access, maintain and disclose the User’s Account information, Content and any other materials or information that the User provides to Vung Tau Stationery PT if required by law or by order of a court or governmental agency or other competent state agency to request Vung Tau Stationery PT or as otherwise required by law: (a) to comply with legal process; (b) to enforce the Terms of Service; (c) to respond to complaints that the Content violates the rights of third parties; (d) to respond to User requests related to customer care; or (e) to protect the rights, property or safety of Vung Tau Stationery PT, Users and/or the public.

  1. VIOLATION OF TERMS OF SERVICE

7.1. Violation of these Terms of Service may result in a number of actions, including any or all of the following:

(a). Delete product category;

(b) Limitation of Account Use;

(c) Suspension and termination of Account;

(d) Recover money/assets obtained through fraudulent acts, and related costs such as order shipping costs, payment fees, etc.;

(e) Criminal charges;

(f) Take civil remedies, including claims for damages and/or interim injunctive relief;

(g) Other actions or sanctions under the Community Standards, Operating Rules, or PT Vung Tau Stationery Policies

7.2. If you discover a User on our Vung Tau PT Stationery Site who is in violation of the Terms of Service, please contact Vung Tau PT Stationery  Here .

  1. REPORTING POTENTIAL INTELLECTUAL PROPERTY INFRINGEMENT

8.1. The Users are independent individuals or organizations and they are not affiliated with Vung Tau Stationery PT in any way. Vung Tau Stationery PT is also not an agent or representative of the Users and does not hold and/or own any goods offered for sale on the Vung Tau Stationery PT Site.

8.2. If you are an Intellectual Property Owner (“IP Owner”) or an authorized representative of an IP Owner (“IP Agent”) and you believe that your intellectual property rights or those of someone you represent are being infringed, please contact  here  and provide Vung Tau Stationery PT with documents supporting your claim. Please allow us time to process the information provided. Vung Tau Stationery PT will respond to your complaint as soon as possible.

8.3. Vung Tau Stationery PT acknowledges that a brand or manufacturer may, in accordance with relevant laws, have the right to enter into certain exclusive distribution agreements or minimum price agreements for its products with other third parties. However, the violation of such agreements does not constitute an infringement of intellectual property rights. Since the enforcement of such agreements is a matter between the brand or manufacturer and the respective third party with whom they enter into the agreement, Vung Tau Stationery PT will not assist in the enforcement of such exclusive distribution rights or price control matters, except where required by law.

8.4. Without limiting the indemnification in Section 23, Seller agrees to indemnify and hold Vung Tau Stationery PT and its Affiliates harmless from and against any and all claims, claims, losses and judgments arising out of or relating to (a) any claim, action or intellectual property infringement related to the Content or products posted for sale, and/or (b) any removal of Content or products posted for sale related to any claim, action or intellectual property infringement.

  1. ORDER AND PAYMENT

9.1. At any given time, Vung Tau PT Stationery supports one or more of the following payment methods:

(i) Payment in cash:

Pay directly to the delivery staff. After payment, please record a video of unpacking to check the product details:

  • Does the product have all the details and parts?
  • Are the promotional products complete and correct as promised?
  • Is the product dented, broken, scratched…or not?
  • Is the product still intact with tags and seal?

You only pay the exact amount of the product ordered, except in cases where you will be charged an additional shipping fee depending on the item and order value. In addition, you will not be charged any other fees.

(ii) Online payment via VnPay payment gateway/ Visa/ Master/ JBC card:

Step 1: Buyers learn about the products and services advertised;

Step 2: Buyer confirms order (phone, text message, email);

Step 3: Buyer pays;

Step 4: Seller ships the goods;

Step 5: Buyer receives goods.

** When you order by paying online via Visa/Master/JBC card, please pay immediately at the time of ordering within the specified time. After that time, if you do not continue the transaction, the system will automatically cancel your order.

(iii) Payment by bank transfer:

Step 1: Buyers learn about the products and services advertised;

Step 2: Buyer confirms order (phone, text message, email) through order confirmation staff, receives payment instructions;

Step 3: Buyer pays;

Step 4: Seller confirms payment

Step 5: Seller ships the goods;

Step 6: Buyer receives goods.

(iv) Other payment methods available on Vung Tau PT Stationery Floor from time to time.

9.2. The Buyer may only change the payment method before making the payment.

9.3. Vung Tau Stationery PT shall not be responsible or liable for any loss or damage suffered by the Buyer or Seller from entering incorrect shipping and/or payment information for the order placed and/or using a payment method not listed in clause 9.1 above or paying outside of Vung Tau Stationery PT Vung Tau Stationery reserves the right to check the legality, the right to use the payment method of the Buyer and has the right to suspend the transaction until the legality is confirmed or cancel the related transactions if it cannot confirm this legality.

Note: Vung Tau Stationery PT will only be responsible for orders that use shipping support services of Vung Tau Stationery PT.

9.4. Currently, Vung Tau Stationery PT can make payments to Users via bank transfer. Therefore, Users need to provide Vung Tau Stationery PT with their bank account information to receive payments, i.e. payments for sold orders or return/refund orders according to Vung Tau Stationery PT Policy.

  1. TRANSPORT

10.1. Upon successful delivery of the order, Vung Tau Stationery PT will notify the Seller of receipt of payment from the Buyer. Unless otherwise agreed with Vung Tau Stationery PT, the Seller is responsible for providing complete bank account information so that Vung Tau Stationery PT can proceed with the payment transfer for that order.

10.2. The Seller shall at all times use its best efforts to ensure that the Buyer will receive the goods on time within the PT Vung Tau Stationery Guaranteed Time.

10.3. The User understands that the Seller bears all risks associated with the transportation of the purchased goods and warrants that the Seller has or will purchase insurance for the goods, including transportation. In the event that the purchased goods are damaged, lost or undeliverable during transportation, the User acknowledges and agrees that Vung Tau PT Stationery shall not be liable for any loss, cost, expense or any charges arising from such incident and the Seller and/or the Buyer shall contact the shipping unit to resolve such incident.

10.4. The Seller agrees that Vung Tau Stationery PT is allowed to stop and/or temporarily suspend the shipping route of the order and temporarily detain the goods at the shipping unit’s warehouse to serve internal investigation, or to coordinate with competent state agencies to serve the investigation of orders and goods that violate Vung Tau Stationery PT’s policies or have illegal acts.

  1. ORDER CANCELLATION, RETURNS AND REFUNDS

11.1. According to Vung Tau PT Stationery Policy from time to time, Buyer can cancel order in the following cases:

(a) At the “Waiting for Confirmation” or “Waiting for Pickup” stage if accepted by the Seller;

(b) At the “Handed Over to Carrier” stage if accepted by the Carrier.

11.2. Buyers may request returns and refunds according to   PT Vung Tau Stationery’s Return and Refund Policy .

11.3. Vung Tau Stationery PT does not manage order cancellation, return, refund of orders self-transacted between Seller and Buyer.

11.5. Refunds to the Buyer will be made within 2 – 4 working days after the Buyer and Vung Tau PT Stationery have discussed and agreed on information/issues related to goods and payment methods.

  1. SELLER’S RESPONSIBILITIES

12.1. The Seller shall manage and ensure the accuracy and completeness of information such as product prices and details, product stock quantities and terms and conditions of sale updated in the Seller’s product catalogue and shall not post inaccurate or misleading information.

12.2. The valid price of the product is determined by the Seller in accordance with the market price and/or the cost incurred by the Seller to obtain the product, except for products whose price is fixed by a competent authority. The product price should include the total amount payable by the Buyer (e.g. taxes, fees, etc.) and the Seller will not request the Buyer to pay any other amount separately.

12.3. To the extent permitted by law, the Seller agrees that Vung Tau Stationery PT may, at Vung Tau Stationery PT’s sole discretion, conduct promotional activities at Vung Tau Stationery PT’s expense and/or at the Seller’s expense (with the Seller’s consent in each case) to facilitate transactions between the Seller and the Buyer through reductions, discounts or refunds of fees or through other means. The final price the Buyer must actually pay is the price with the above adjustments applied.

12.4. In order to promote the purchase of the products listed by the Seller, Vung Tau Stationery PT may post such products (at adjusted prices) on third party websites (such as portals and price comparison portals) and other websites (domestic or international) operated by or in cooperation with Vung Tau Stationery PT.

12.5. The Seller is responsible for providing invoices to the Buyer in accordance with the law.

12.6. The Seller acknowledges and agrees that the Seller is responsible for paying all taxes, customs duties and any other fees on the products sold and Vung Tau PT Stationery does not provide any legal or tax advice in this regard. The Seller should seek professional tax advice if necessary.

12.7. The Seller acknowledges and agrees that any violation by the Seller of the policies of Vung Tau PT Stationery will result in the measures referred to in Article 7.1.

  1. FEE

13.1. Unless otherwise provided in these Terms of Service or otherwise agreed by the parties, the Buyer shall not be required to pay any fees for using the services on the Vung Tau PT Stationery Site.

13.2. The Seller acknowledges and agrees that Vung Tau Stationery PT may deduct the fees payable to Vung Tau Stationery PT and the taxes as prescribed by law (if any) applicable to the Payment Amount from the Buyer. Vung Tau Stationery PT will issue a financial invoice for the fees and taxes paid by the Seller.

13.3. Fixed Fee

Vung Tau Stationery PT applies a fixed commission fee (“Fixed Fee”) for each successful order on the Vung Tau Stationery PT Site (not applicable to orders canceled by the Buyer or orders accepted by Vung Tau Stationery PT for return and refund to the Buyer for all products in the order). The Fixed Fee and tax will be agreed upon by the Seller and Vung Tau Stationery PT, as shown in the contract signed between the two parties.

The Fixed Fee is detailed in the reconciliation email each period that Vung Tau PT Stationery sends to the Seller. The fixed fee will be deducted before Vung Tau PT Stationery pays the Seller.

13.4. Service Fees

Service Fee is the fee that the Buyer must pay when using a credit/debit card to make payment for products, calculated on the Buyer’s order value minus the value of incentives (if any).

Calculation: Service Fee = Total order value x 2.5%
This fee includes value added tax.

  1. DISPUTE

14.1. In the event of a problem arising in connection with a transaction, the Seller and the Buyer agree to first engage in dialogue with each other to attempt to resolve the dispute by mutual discussion, and Vung Tau PT Stationery will make reasonable efforts to make arrangements. If the problem is not resolved by mutual discussion, the User may lodge a complaint with the local competent authority to resolve the dispute arising from the transaction.

14.2. Each Seller and Buyer undertakes and agrees that it will not bring any proceedings or otherwise make any claim against Vung Tau Stationery PT or its affiliates (except where Vung Tau Stationery PT or its affiliates are the Sellers of the products to which such claim relates) in connection with any transaction made on the Vung Tau Stationery Site or any dispute relating to such transaction.

14.3. Users may submit a written request to Vung Tau Stationery PT for assistance in resolving disputes arising from the transaction.   1. DISCLAIMER

16.1. THE SERVICE IS PROVIDED ‘AS IS’ AND WITHOUT ANY EXPRESS, IMPLIED OR STATUTORY WARRANTIES, REPRESENTATIONS OR REPRESENTATIONS FROM Vung Tau Stationery PT WHATSOEVER WITH RESPECT TO THE SERVICE, INCLUDING PERFORMANCE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, NOR ANY WHAT WARRANTIES ARE CREATED AS A COURSE OF DEALING, PERFORMANCE, PURCHASE OR USE OF THE PRODUCT AFTER PURCHASE.

16.2. USERS ACKNOWLEDGE THAT ALL RISKS ARISING OUT OF THE USE OR OPERATION OF THE Vung Tau PT Stationery SITE AND/OR Vung Tau PT Stationery SERVICES WILL REMAIN WITH THE USER TO THE MAXIMUM EXTENT PERMITTED BY LAW.

16.3. Vung Tau Stationery PT does not control and does not warrant or accept responsibility for: (a) the fitness for purpose, existence, quality, safety or legality of the products available on the Vung Tau Stationery PT site; or (b) the ability of Sellers to sell the products or the ability of Buyers to purchase and pay for the products. If there is a dispute involving one or more users, such users agree to resolve the dispute directly with each other and release Vung Tau Stationery PT and its affiliates from any claims, demands and losses arising out of or in connection with the dispute.

  1. EXCLUSIONS AND LIMITATIONS OF LIABILITY

17.1. Vung Tau Stationery PT SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE (WHETHER ACTIVE OR PASSIVE), PRODUCT LIABILITY, STRICT LIABILITY OR OTHERWISE), OR OTHER CAUSES RELATED TO LAW, LEGITIMATE INTERESTS, REGULATIONS OR OTHER FORMS FOR:

(i) (A) LOSS OF USE; (B) LOSS OF PROFITS; (C) LOSS OF REVENUE; (D) LOSS OF DATA; (E) LOSS OF GOODWILL; OR (F) FAILURE TO TAKE PRECAUTIONARY MEASURES, IN EACH CASE WHETHER DIRECT OR INDIRECT; OR

(ii) INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING ANY LOSS OF DATA, INTERRUPTION OF SERVICES, COMPUTERS, TELEPHONES OR OTHER MOBILE DEVICES) ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE Vung Tau PT Stationery SITE OR THE SERVICES, INCLUDING DAMAGES RESULTING FROM THE SITE, EVEN IF Vung Tau PT Stationery HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OF SUCH DAMAGES OR SUGGESTED RESPONSIBILITY.

17.2. YOU HAVE THE RIGHT TO REQUEST TERMINATION OF YOUR ACCOUNT AND/OR STOP USING THE SERVICE IN CASE OF DISSATISFACTION WITH THE SERVICE.

17.3. IN THE EVENT THAT Vung Tau Stationery PT, IN THE ASSESSMENT OF A COURT OF COMPETENT JURISDICTION, IS HELD LIABLE TO THE MAXIMUM EXTENT PERMITTED BY LAW (INCLUDING FOR GROSS NEGLIGENCE), Vung Tau Stationery PT’S LIABILITY TO YOU OR ANY THIRD PARTY SHALL BE LIMITED TO THE LESSER OF (A) THE FEES PAID TO YOU UNDER THE Vung Tau Stationery PT GUARANTEE POLICY; AND (B) VND 2,000,000 (TWO MILLION VND) OR OTHER AMOUNT AS SPECIFICALLY DETERMINED IN THE FINAL JUDGMENT OF THE COURT OF COMPETENT JURISDICTION.

17.4. NOTHING IN THESE TERMS OF SERVICE SHALL LIMIT OR EXCLUDE ANY LIABILITY FOR PERSONAL INJURY OR ACCIDENT CAUSED BY VUNG TAU STATIONS’ NEGLIGENCE, FRAUD OR ANY OTHER LIABILITY IN WHICH VUNG TAU STATIONS IS NOT LIMITED AND/OR EXCLUDED BY LAW.

  1. LINKS AND INTERACTION WITH THIRD PARTY SITES/SERVICES

Third party links contained on the Vung Tau PT Stationery Site will cause the User to leave the Vung Tau PT Stationery Site. These links may be provided as a courtesy. The websites or applications accessed from these links are not under the control of Vung Tau PT Stationery in any way and therefore you must bear the risk of accessing these websites.

Users may interact with, purchase goods and/or use services from, or participate in promotions of third parties during the use of the Vung Tau PT Stationery Site. Any such activities and any terms, conditions, warranties or representations associated with such activities, shall be solely between the User and the relevant third party.

Vung Tau PT Stationery allows you to share videos from YouTube in the Vung Tau PT Stationery Livestream feature (“YouTube Content”). By sharing YouTube Content, you hereby agree to be subject to the YouTube Privacy Policy ( http://www.google.com/policies/privacy ).

  1. USER CONTRIBUTIONS TO THE SERVICE

19.1. By submitting any Content to Vung Tau Stationery PT, you represent and warrant that you have all rights and/or consents necessary to grant the rights below to Vung Tau Stationery PT. You also acknowledge and agree that you are solely responsible for any Content you post or make available on or through the Service, including responsibility for the accuracy, reliability, originality, rights clearance, compliance with laws and legal restrictions associated with any Contributed Content. You hereby grant to Vung Tau Stationery PT and its successors a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable, and transferable right to use, copy, distribute, republish, transmit, modify, adapt, create derivative works from, publicly display, and perform such Contribution Content, through or in connection with the Service in any media and through any media channels, including for the purpose of promoting or redistributing part of the Service (or derivative works thereof). The rights you grant to us terminate only when you or Vung Tau Stationery PT remove the Contribution Content from the Service.   1. THIRD PARTY CONTRIBUTIONS TO THE SERVICE AND EXTERNAL LINKS

20.1. Each party contributing to the Service data, messages, images, sounds, videos, software and other Content, shall be responsible for the accuracy, reliability, originality, clarity of rights, compliance with laws and legal restrictions related to any contributed Content. Vung Tau Stationery PT will remove from the website/Application information on the sale of counterfeit goods, counterfeit goods, smuggled goods, goods infringing intellectual property rights and other illegal goods, services and information upon discovery or receipt of well-founded feedback about this information. Users shall not hold Vung Tau Stationery PT responsible for any activities or inactions of Users, including but not limited to, matters they post or otherwise make available through the Service.

20.2. In addition, the Vung Tau Stationery Site may contain links to third party products, websites, services and offerings. These third party links, products, websites, services and offerings are not owned or controlled by Vung Tau Stationery. In fact, such products, websites, services and offerings are operated by, and are the property of, the respective third parties, and are protected by copyright or other intellectual property laws and treaties. Vung Tau Stationery has not reviewed, and is not responsible for the content, functionality, security, services, privacy policies, or other practices of these third parties.   1. USER REPRESENTATIONS AND WARRANTIES

The User affirms and warrants that:

(a) the User possesses the capacity, (and in the case of a minor, valid parental or legal guardian consent), legal right and ability to enter into these Terms of Service and to comply with the terms hereof; and

(b) User shall use the Service only for lawful purposes and in accordance with these Terms of Service and all applicable laws, rules, codes, directives, guidelines, policies and regulations.

  1. INDEMNIFICATION

You agree to indemnify, defend and hold harmless Vung Tau Stationery PT, its shareholders, subsidiaries, affiliates, directors, officers, agents, co-brand owners or partners, and employees of Vung Tau Stationery PT (collectively, the “Indemnified Parties”) from and against any claims, actions, proceedings, and suits, and related liabilities, losses, payments, fines, penalties, costs and expenses (including dispute resolution costs) incurred by the Indemnified Parties, arising out of (a) a transaction conducted on the Vung Tau Stationery Site, or a dispute related to such transaction (except where Vung Tau Stationery PT or its affiliates are the Seller for the transaction related to the claim), (b) Vung Tau Stationery PT’s Guarantee Policy, (c) the organization, operation, administration and/or management of the Services performed by or on behalf of Vung Tau Stationery PT. Vung Tau PT Products, (d) your violation or failure to comply with any provision of these Terms of Service or any policies or guidelines referenced herein, (e) your use or misuse of the Services, or (f) your violation of any law or any third party rights, or (g) any User Content posted.

  1. INDIVIDUALITY

If any provision of these Terms of Service is unlawful, void, or for any reason unenforceable under law, then that provision shall be deemed severable from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions nor shall the validity and enforceability of the provision be determined under law.

  1. APPLICABLE LAW

These Terms of Service shall be governed by and construed in accordance with the laws of Vietnam. Any dispute, controversy, claim or difference of any kind whatsoever arising out of or relating to these Terms of Service against or relating to Vung Tau PT Stationery or any Indemnified Party subject to these Terms of Service shall be resolved by arbitration at the Vietnam International Arbitration Center (VIAC). The language of arbitration shall be Vietnamese.

  1. GENERAL PROVISIONS

25.1. Vung Tau Stationery PT reserves all rights not expressly granted herein.

25.2. Vung Tau Stationery PT reserves the right to change or modify these Terms of Service at any time by posting the revised Terms of Service on the Vung Tau Stationery PT Site. The User’s continued use of the Vung Tau Stationery PT Site after the changes are posted will constitute the User’s acceptance of the revised Terms of Service. If the User does not agree to these changes or modifications, the User should not continue to use the Service or access the Vung Tau Stationery PT Site.

25.3. The User shall not assign, sublicense or transfer any of the rights or obligations granted to the User hereunder.

25.4. Nothing in these Terms of Service shall constitute a partnership, joint venture or principal-agent relationship between you and Vung Tau PT Stationery.

25.5. The failure at any time or times by Vung Tau Stationery PT to require performance of any provision hereof shall in no manner affect the right of Vung Tau Stationery PT at a later time to enforce the same unless the same is waived in writing.

25.6. These Terms of Service are solely for the benefit of Vung Tau Stationery PT and the User and not for the benefit of any other person or entity, except for Vung Tau Stationery PT’s affiliates and subsidiaries (and for each successor or assignee of Vung Tau Stationery PT or of Vung Tau Stationery PT’s affiliates and subsidiaries).

25.7. The terms set forth in these Terms of Service and any agreements and policies included or referred to in these Terms of Service constitute the entire agreement and understanding of the parties with respect to the Services and Vung Tau PT Stationery Site and supersede any prior agreement or understanding between the parties with respect to such subject matter. In entering into the agreement formed under these Terms of Service, the parties have not relied on any representation, representation, warranty, understanding, undertaking, promise or assurance of any person other than those expressly set forth in these Terms of Service. These Terms of Service may not be contradicted, interpreted or supplemented as evidence of any prior agreements, any existing oral agreements or any consistent additional terms.

25.8. You agree to comply with all applicable laws relating to anti-corruption and anti-bribery.
